Terms of service
These terms apply when you use Melius, operated by [entity: to be confirmed] (ABN [abn: to be confirmed]), including our website, procurement assessments and customer accounts. Effective [effectiveDate: to be confirmed].
Your rights under the Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including that they will be provided with due care and skill. Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that can't be excluded.
What we provide
We read the invoices and purchasing documents you upload and give you an assessment: for example line items, unit prices, missing product details and points worth checking.
Assessments are information to help your purchasing decisions. They are based on the documents you provide and the public data available to us, and they aren't financial, legal, tax, customs or safety advice. Possible dangerous goods, tariff codes and similar flags are prompts to check with your supplier or an adviser, not determinations. We don't promise any particular saving or outcome.
Your account
You must give us accurate details and keep your sign-in secure. You're responsible for activity on your account unless it happens because of our failure. Tell us promptly at [contactEmail: to be confirmed] if you think your account has been misused.
Your documents
You keep ownership of everything you upload. You give us permission to store and process your documents only to provide the service to you, as described in our privacy policy. We treat your invoices as confidential and won't share them with suppliers or others without your written approval.
You confirm you're allowed to share the documents you upload with us, including any personal information about other people in them.
Acceptable use
Don't upload anything you don't have the right to share, or anything unlawful or malicious. Don't try to access other customers' information, disrupt the service, or get around our security or usage limits.
Fees
We'll tell you about any fees before you incur them. Any paid services will be set out in a separate written agreement or quote.
Our liability
To the extent the law allows, and subject to your rights under the Australian Consumer Law, our liability for a failure to comply with a consumer guarantee for services that aren't of a kind ordinarily acquired for personal, domestic or household use is limited to supplying the services again or paying the cost of having them supplied again.
Nothing in these terms limits liability that can't be limited by law, or our liability for our own negligence, fraud or wilful misconduct.
Ending your account
You can close your account at any time by contacting [contactEmail: to be confirmed]. We may suspend or close an account that breaches these terms in a serious way, after telling you why where it's reasonable to do so. When an account closes we handle your documents as set out in our privacy policy.
Changes to these terms
We may update these terms to reflect changes to the service or the law. We'll give account holders at least 30 days' notice of changes that are significant or that reduce your rights, and you can close your account before they take effect. Changes don't apply to services already provided.
Governing law
These terms are governed by the laws of [governingLaw: to be confirmed], Australia. Please contact us first at [contactEmail: to be confirmed] so we can try to resolve any dispute.
